Article 1 — Identification of the service provider

MogaCode SARL-AU, a single-member limited liability company under Moroccan law, with a capital of 10,000 MAD, registered in the Essaouira Trade Register under number RC 8359, ICE 003841897000096. Registered office: Essaouira, Morocco. Email: hello@mogacode.ma.

Article 2 — Purpose

These General Terms and Conditions govern the contractual relationship between MogaCode SARL-AU (hereinafter "the Provider") and any client (hereinafter "the Client") for the provision of website creation, digital development, SEO consulting, training and SaaS software publishing services.

Article 3 — Quotation & Order

All services are subject to a detailed quote, valid for 30 days. The order is confirmed by signing the quote and paying the required deposit. The service provider reserves the right to refuse any order without having to justify the reason.

Article 4 — Rates

• Prices are expressed in MAD (Moroccan dirham) or EUR as agreed, excluding VAT unless otherwise stated.
• Prices are subject to change. Only the signed quote is valid.
• For the SaaS SEO Master: monthly billing, cancellable at any time.

Article 5 — Payment Terms

• Deposit of 40% upon order, balance upon delivery.
• Payment via bank transfer, PayPal or Stripe.
• Any late payment will incur penalties of 1.5% per month.

Article 6 — Delivery Times

The deadlines indicated in the quote are indicative only. The Service Provider undertakes to meet the agreed deadlines as closely as possible. Any delay by the Client (validation, content delivery) will automatically postpone the deadlines.

Article 7 — Intellectual Property

Upon receipt of the balance payment, the Client obtains the rights to use the delivered website. The Provider retains the right to mention the project in its portfolio. The source code for custom developments remains the property of the Provider unless otherwise agreed in writing.

Article 8 — Warranty & Maintenance

A 30-day bug fix guarantee is included after delivery. Functional enhancements are subject to a separate quote. Maintenance is offered as an option.

Article 9 — Responsibility

The Provider is bound by an obligation of means. It cannot be held liable for data loss, service interruption, or indirect damage. In any event, the Provider's liability is limited to the amount invoiced for the service in question.

Article 10 — Termination

In the event of cancellation initiated by the Client, the deposit paid remains the property of the Service Provider. Work completed will be invoiced on a pro rata basis.

Article 11 — Applicable Law & Disputes

These Terms and Conditions are governed by Moroccan law. In the event of a dispute, the parties agree to seek an amicable solution. Failing that, the Commercial Court of Essaouira shall have sole jurisdiction.
